Privately held C&S Wholesale Grocers Inc. is one of the largest wholesale grocery distributors in the U.S. in this fragmented industry. We are assigning our 'BB-'corporate credit rating to C&S Wholesale Grocers. In addition, we are assigning our 'BB-' senior secured debt rating to C&S Group Enterprises LLC's proposed $250 million senior secured notes due 2017, guaranteed by C&S Wholesale Grocers and other related entities. Our stable rating outlook reflects our view that the company should maintain its operating performance and credit metrics should improve over the intermediate term.
