FMC Corp. announced it has entered into a definitive agreement to acquire Denmark-based crop protection company Cheminova A/S for about $1.8 billion. We are placing our 'A-' corporate credit and senior unsecured issue ratings on FMC on CreditWatch with negative implications. We are also affirming our 'A-2' short-term corporate credit rating and 'A-2' commercial paper rating. The CreditWatch listing indicates we could lower our ratings based on our assessment of FMC's financial risk profile depending on its permanent financing plan for the acquisition and the timing and proceeds of the proposed Alkali Chemicals divesture.
