ATS Consolidated Inc. (now known as Verra Mobility) has announced its intention to merge with Gores Holdings II Inc., a special purpose acquisition company, in a cash and equity-funded transaction. Upon completion of the transaction, Verra Mobility will become a public company. Based on the potential improvement of the existing financial risk profile, we are placing our ratings, including our 'B' long-term corporate credit rating, on ATS on CreditWatch with positive implications. We expect to resolve the CreditWatch placement after the transaction closes, which we believe will be in the third quarter of 2018.
