NEW YORK (Standard&Poor's) Dec. 1, 2014--Standard&Poor's Ratings Services today assigned its 'AA-' issue-level rating to Amazon.com Inc.'s proposed offering of senior unsecured notes in several tranches. Our existing ratings on Amazon, including the 'AA-' corporate credit rating, are unchanged and the outlook remains stable. The 'AA-' issue-level rating for the proposed senior unsecured notes reflects our view of the company's liquid asset base, negative working capital cycle, and lack of material secured borrowings or priority obligations. The company will use net proceeds from the sale of the notes for general corporate purposes. Our 'AA-' corporate credit rating and stable outlook on Amazon reflects our expectation for strong cash flow generation and that business conditions will remain
