NY -- Standard&Poor's CreditWire 10/3/95 -- Standard&Poor's ratings of AMR Corp. and unit American Airlines Inc. are placed on CreditWatch with negative implications, following the disclosure of preliminary talks regarding a possible acquisition of USAir Group Inc. Debt affected totals about $9 billion. Discussions between USAir (single-`B'-minus corporate credit rating) and AMR, and parallel talks between USAir and UAL Corp. (double-`B'), the parent of United Air Lines Inc., are in very preliminary stages, and may not result in any transaction. AMR has not as yet confirmed the discussions, though USAir has identified the two possible acquirers. An acquisition of USAir would add about $7.9 billion of debt and leases to the balance sheet of the acquirer
