Standard&Poor's Ratings Services has reviewed amendments dated Jan. 31, 2009, amending the 2000 and 2005 standard terms and provisions of series trust agreement for the Wachovia MERLOTS series listed below. We have concluded that the amendments will not result in a reduction or withdrawal of the current ratings Standard&Poor's has assigned to outstanding series of floater and residual certificates. The amendment changes Section 5.1 of the standard terms to clarify that tender option termination event will occur upon the bankruptcy of: The obligor on the underlying bonds if no principal credit source is identified for the trust; The principal credit source if that principal credit source is also the obligor on the underlying bonds; or -Both
