Abstract:

On Feb. 17, 2016, we lowered our corporate credit rating on Odebrecht Engenharia e Construcao to 'BB+' from 'BBB-' following the downgrade of Brazil to 'BB' from 'BB+'. The rating on Odebrecht remains on negative outlook, reflecting the outlook on Brazil. We believe Odebrecht is a key construction counterparty for Peru-based toll road operator, RdL. Consequently, we're placing our 'BBB-' debt rating on RdL on CreditWatch with negative implications to reflect our intention to analyze in the next 90 days recent modifications in the engineering procurement, and construction (EPC) contract, construction schedule, and credit enhancement available in the structure to determine the current construction counterparty dependency assessment (CDA). On March 1, 2016, Standard&Poor's Ratings Services placed its 'BBB-'
