Abstract:

On July 18, 2008, Standard&Poor's Ratings Services affirmed its 'A-' corporate credit ratings on United Waterworks and United Water New Jersey. At the same time, we removed the ratings from CreditWatch with developing implications. The outlook is stable. The ratings were originally placed on CreditWatch on March 2, 2006, following the announcement of the merger between Suez S.A. (A-/Watch Pos/A-2), the ultimate parent of United Waterworks and United Water New Jersey, and French gas utility Gaz de France S.A. (GDF; AA-/Watch Neg/A-1+). After the initial merger announcement, Suez announced that 65% of the share capital of Suez Environment (21% of 2007 Suez EBIT, the indirect parent of United Waterworks and United Water New Jersey) will be spun off
