About This Report

Abstract:

This report does not constitute a rating action. DUBLIN (S&P Global Ratings) June 22, 2026--S&P Global Ratings said today there is no credit rating impact on building materials distributor provider CRH PLC (BBB+/Stable/A-2) following its announced agreement to acquire Arcosa Inc. (BB/Stable/--) for $8.5 billion. The all-cash transaction, priced at $150 per share, represents a 25% premium to Arcosa's 60-day volume-weighted average price as of June 18, 2026, and remains subject to approval by Arcosa's stockholder and regulatory approvals. We anticipate CRH will fund the acquisition through a combination of existing cash on the balance sheet and a draw on a new bridge facility, which we understand will be refinanced by bank debt and bond issuances following the transaction's completion.

We anticipate CRH will fund the acquisition through a combination of existing cash on the balance sheet and a draw on a new bridge facility, which we understand will be refinanced by bank debt and bond issuances following the transaction's completion. Our ratings on CRH remain unchanged since we expect the long-term strategic advantages of the acquisition to be largely offset by a temporary increase in leverage and execution risks.
