Genstar Capital LLC has announced that an affiliate has entered into an agreement to acquire Aretec Group Inc. Genstar will fund the acquisition by raising roughly $1 billion in debt and an equity contribution. This will result in a more stable capital structure for Aretec Group, albeit with high leverage. We are assigning our 'B-' issuer credit rating to Aretec Group. At the same time, we assigned our 'B-' issue rating on the company's proposed first-lien revolving credit facility and term loan, and our 'CCC' rating on the company's proposed second-lien term loan.
