Abstract:UK - Mentor Graphics Corporation (MG) of the US launched an unsolicited tender offer to acquire the remaining 70.08% interest, or 16.019 mil ordinary shares, which it did not already own, in Flomerics Group PLC (FG), a Surrey-based developer and wholesaler of engineering simulation software, for a sweetened 1.22 British pounds ($2.434 US) in cash per share, or a total value of 19.543 mil pounds ($38.984 mil). Originally, MG offered 1.04 pounds ($2.032) in cash per share, or a total value of 16.659 mil pounds ($32.548 mil). The offer was conditioned upon at least 90% of the shares being tendered. On completion, MG was to exercise its right to apply for the delisting of FG shares from the London Stock Exchange. The transaction was approved by the regulatory authorities. Subsequently, Autodesk Inc planned to launch an unsolicited challenging tender offer to acquire the entire ordinary share of FG.
