| Abstract: | We have heightened concerns regarding Citigroup Inc.'s potential additional credit losses and capital adequacy. We are placing our counterparty credit and debt ratings on Citigroup on CreditWatch Negative. We could lower the rating by one notch or more, or affirm the rating. On May 4, 2009, Standard&Poor's Ratings Services placed its 'A/A-1' counterparty credit rating on Citigroup Inc. on CreditWatch with negative implications. We also placed our ratings on various affiliates, including the 'A+/A-1' counterparty credit rating on Citibank N.A. New York, NY on CreditWatch. The CreditWatch placement is part of an ongoing industry review and follows our recent criteria on stress testing and U.S. banks (see "Credit Stress Testing For Financial Institutions" and "Stress Testing U.S. Financial
