| Abstract: | We believe that Bank of America may need to rebuild its capitalization given our expectation for credit losses. We are placing our ratings on Bank of America on CreditWatch with negative implications. At the same time, we are lowering our rating on its bank-level preferred stock to 'B' from 'BB' and its holding company preferred stock to 'B' from 'BB-'. The CreditWatch will be resolved after we further assess the impact on earnings and capitalization using our methodology and criteria. We will take account of any plans to raise additional capital. The rating could be lowered by one or more notches, or be affirmed with a negative outlook. On May 4, 2009, Standard&Poor's Ratings Services placed its 'A/A-1'
