Abstract: TORONTO (Standard&Poor's) Nov. 3, 2009--Standard&Poor's Ratings Services today said that Groupe Aeroplan Inc.'s announced agreement to acquire Carlson Marketing (CM) would not by itself affect the corporate credit rating on the company (BBB-/Stable/--). According to Groupe Aeroplan, the company expects to acquire CM for US$175.3 million, financed with cash on hand and increased borrowing. We understand that the agreement is subject to customary closing conditions and antitrust approvals in the U.S. and Canada and that the transaction is targeted to close by early December 2009. CM's core businesses, as Standard&Poor's understands them, primarily include providing fulfillment services to loyalty programs, including marketing, advertising, redemption fulfillment, and data analytics services.
