Rainchief Energy Inc., formerly Black Diamond Brands Corporation, is engaged in the acquisition, exploration, development and production of oil and gas interests in the Province of Alberta, Canada. Prior to January1, 2007, the Company’s principal business was the distribution of liquor and wine products in the Province of British Columbia, Canada and in the United States. It was engaged in the distribution of adult beverage products in Canada (primarily in the Provinces of British Columbia and Alberta), through its wholly owned subsidiary, Black Diamond Importers Inc. Rainchief Energy Inc. marketed private label wine products in the United States under the Liberty Valley name and label, with red and white wines produced in Argentina. During the year ended December 31, 2008, the Company decided to exit the wine distribution operations in Canada and the United States operated through its wholly owned subsidiaries, Black Diamond Importers Inc. and Liberty Valley Wines LLC.
